We are looking for a dedicated personality and experienced professional to join our Legal team as
Company Secretary (80-100%)
RESPONSIBILITIES
- Day-to-day management of all corporate secretarial tasks for the Sequent entities in scope of responsibility in collaboration with other teams and external services providers and counsels
- Ensure legal compliance of all Sequent entities in scope of responsibility, organise meetings of board of directors and shareholders and prepare minutes and resolutions
- Responsible for filing relevant changes with the Commercial Register or similar registers
- Ensure up-to-date information in the entity management system
- Handling requests and queries from external (and internal, to the extent applicable) auditors
- Collect and provide information on Sequent entities and shareholders; e.g. KYC requests by banks.
- Liaising with the Swiss/other regulators under the guidance of senior management/compliance (to the extent applicable)
- Preparing and filing statutory returns with input from other teams if necessary
- Understanding any legislative changes that may affect the management of the Sequent Group companies and disseminating that information to the relevant stakeholders
- Assisting in handling of data protection matters
- Reviewing basic legal documentation, e.g. terms and conditions / agreements, under the supervision of Sequent lawyers
- Providing training on Sequent entities to new joiners
- Assisting (and managing) relevant project groups that are related to the role (e.g. beneficial ownership, disclosure registers, regulatory changes etc.)

REQUIREMENTS
- Paralegal degree or Bachelor of Laws
- Sound experience in Company Secretary matters, ideally gained within Financial Services
- Knowledge of Swiss (and international) corporate law
- Proficient IT user skills
- Fluency in German and English, both orally and in writing, any other language is a plus
- Organisational skills
- A flexible and team / service-oriented personality with a sense of responsibility
